Are You Compliant With State and Federal Regulations?

Trinity Strategic Staff |

Let’s get one thing straight:

Your nonprofit’s biggest threat isn’t just lack of funding — it’s lack of compliance.
And trust me, the IRS and the Louisiana Secretary of State aren’t going to send you a friendly reminder when something’s missing.

If you can’t prove that your organization is operating ethically, legally, and transparently — you’re not ready for the next grant, donor, or partnership.

Why Noncompliance Is a Silent Killer

You could lose:

  • Your 501(c)(3) status

  • Your eligibility for grants

  • Your donor trust

  • Your board’s confidence

  • Your reputation

The worst part?
Many organizations don’t even know they’re out of compliance until it’s too late.

The Fixer’s 3-Layer Compliance Framework

1. Federal Compliance (IRS)

Stay on the right side of the IRS:

  • ✅ File IRS Form 990 annually (990-N, 990-EZ, or full 990 depending on size)

  • ✅ Maintain updated bylaws and articles of incorporation

  • ✅ Keep proper donor acknowledgment letters for tax purposes

  • ✅ Track board meeting minutes and major decisions

  • ✅ Avoid private benefit or conflicts of interest

Missing even one of these can flag your nonprofit for review.

2. State Compliance (Louisiana)

Your Louisiana nonprofit must:

  • ✅ File an annual report with the Secretary of State

  • ✅ Renew charitable registration if you solicit donations

  • ✅ Stay up to date on registered agent, board info, and mailing address

  • ✅ Keep your Articles of Incorporation updated with amendments, if applicable

  • ✅ Follow financial disclosure rules if revenue exceeds certain thresholds

Each of these is checkable — and many are public record. Don’t get caught slipping.

3. Internal Governance Compliance

Funders increasingly want to know:

  • Do you have a conflict of interest policy?

  • Do you have internal financial controls?

  • Are whistleblower and document retention policies in place?

  • Do you have processes for approving contracts and managing risk?

If you’re applying for federal or state dollars, they will ask.
Be proactive — not panicked.

The Fixer™ Rule: Compliance = Readiness

If you stay compliant year-round:

  • You’ll submit stronger grant proposals

  • You’ll onboard board members with confidence

  • You’ll earn donor trust with transparency

  • You’ll sleep better at night knowing your foundation is solid
